POSTPONEMENT OF ISSUE

The Royal Bank of Scotland plc (the "Issuer")

This notice relates to the following Securities (the "Affected Securities") which were the subject of a public offer by the Issuer which commenced on 25 August 2009, in respect of SMTN 6970 and SMTN 6971, and 24 August 2009, in respect of all other Affected Securities, and ended on 2 October 2009 for all the Affected Securities.

The Issuer gives notice that the issue of the Affected Securities scheduled to take place on 5 November 2009 shall be postponed, subject to further notice by the Issuer (which will be given as soon as reasonably practicable).

The Affected Securities:

such Securities to be issued under the Issuer's Principal-Protected Index, Equity or Currency Linked Notes and Non-Principal Protected Index, Equity or Currency Linked Certificates Base Prospectus dated 22 May 2009, as supplemented from time to time (the "Asian Put and Call Base Prospectus"), which incorporates by reference the Issuer's U.S.$50,000,000,000 Structured Note Programme Base Prospectus dated 14 May 2009, as supplemented from time to time (the "SMTN Programme Base Prospectus");

such Securities to be issued under the Issuer's Exercisable Certificate/Warrants and Redeemable Certificate Base Prospectus dated 3 April 2009, as supplemented from time to time (the "Exercisable Certificates Base Prospectus"), which incorporates by reference the section entitled "Terms and Conditions of the Securities" contained in the Issuer's Certificate and Warrant Programme Base Prospectus dated 26 September 2008, as supplemented from time to time and the Issuer's Certificate and Warrant Programme Base Prospectus dated 25 September 2009 (excluding the documents incorporated therein by reference and the sections entitled "Summary of the Programme" and "Form of Final Terms") as supplemented from time to time (together, the "Certificate and Warrant Programme Base Prospectuses");

such Securities to be issued under the Issuer's Principal-Protected and Non-Principal Protected Index or Equity Linked Notes Base Prospectus dated 24 August 2009, as supplemented from time to time (the "Accumulator - Bull and Bear Base Prospectus"), which incorporates by reference the SMTN Programme Base Prospectus.
